These terms and conditions apply to all contracts between PLAYGROUND AGENCY, Lilly Wittrock, Simon-von-Utrecht-Strasse 85A, 20359 Hamburg (hereinafter "Agency") and its clients (hereinafter "Client") regarding services in consulting, strategy, production, social media, events and campaigns. Diverging conditions of the client apply only when they have been expressly recognised in writing.
The agency offers are non-binding. A contract is formed by written order confirmation or by commencing the services.
Type and scope of the services follow from the respective offer or order confirmation. For conceptual and creative services the contractor is granted reasonable creative discretion.
The client provides all necessary information, materials and approvals in due time and confirms that any content provided is free of third-party rights.
Unless agreed otherwise, all prices are plus statutory VAT. Invoices are payable within 14 days net.
Deadlines are only binding when they have been expressly agreed as such. Delays due to a lack of client cooperation are the client's responsibility.
Usage rights to the delivered services are granted in the contractually agreed scope and only after full payment of the agreed fees.
Both parties undertake to keep confidential information of the other party secret and to use it solely for the purposes of the contract.
The agency is liable without limitation for intent and gross negligence and under the Product Liability Act. For simple negligence the agency is only liable for breaches of essential contractual obligations.
Continuing obligations may be terminated by either party with the agreed notice. The right to extraordinary termination remains unaffected.
German law applies. Jurisdiction is, where legally permitted, Hamburg. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
